Terms of Service

1. Acceptance

By creating an account or using IndieCrave (the "Service"), you agree to these Terms. If you don't agree, don't use the Service.

2. Who we are

The Service is operated by IndieCrave, LLC. Contact us at support@indiecrave.com.

3. Accounts

You must be at least 13 years old to create an account, or the age of majority in your jurisdiction, whichever is greater. You are responsible for the activity on your account.

4. Artist content + copyright

Artists retain ownership of music they upload. By uploading, you grant IndieCrave a non-exclusive, worldwide license to host, stream previews of, and sell that music on your behalf. You represent that you own or are authorized to distribute every recording you upload — uploading copyrighted material without authorization is cause for immediate termination and may result in legal action.

5. Purchases + payments

Music sales are processed by Stripe under Stripe's terms. Payments to artists go directly into the artist's Stripe Connect account; IndieCrave never holds artist funds. IndieCrave charges $0 commission on music sales — only Stripe's processing fees apply.

Tier subscriptions (Indie tier and any future tiers) are billed in advance at the price displayed at checkout. You can cancel any time from your account; cancellation takes effect at the end of your current paid period.

5a. Sales tax + VAT

Tier subscriptions: IndieCrave is the seller of record for tier subscriptions and collects applicable sales tax or VAT through Stripe Tax, included on your invoice at checkout.

Music sales: For music, album, and tip purchases, the individual artist is the seller of record for the content itself — funds flow directly into the artist’s Stripe Connect account, and IndieCrave does not hold or process those proceeds.

Sales tax on music sales is handled by IndieCrave. Where IndieCrave is registered and required to do so as a marketplace facilitator, we calculate applicable sales tax at checkout, collect it from the buyer in addition to the artist’s listed price, and remit it to the relevant taxing authority. Collected tax is never part of the artist’s proceeds, is never treated as a commission, and is held separately from the amount that settles to the artist. Buyers in jurisdictions where we are not registered are not charged sales tax on music.

Because IndieCrave collects and remits this tax, artists are not required to collect sales tax on IndieCrave sales in the jurisdictions we cover. Artists remain responsible for their own income and self-employment taxes, and for any obligations arising outside the Service. IndieCrave does not provide tax advice; artists should consult a tax professional about their own circumstances.

6. Refunds

Music purchases. You may request a refund within 14 days of purchase, provided the music has never been downloaded and has not been played through more than five times. Downloading is final: once the file is delivered, the purchase cannot be refunded. Album purchases are all-or-nothing — downloading or playing out any track consumes the entire purchase. Because the artist is the seller of record, refund requests are decided by the artist. If a request is approved, the full payment (including any sales tax) is returned to your original payment method and the music is removed from your library. Refunds outside these conditions are offered only where required by law.

Tier subscriptions. Subscription payments are non-refundable once the subscription has been used. Cancelling stops future renewals; your subscription remains active through the period you've already paid for, with no pro-rated or partial refunds. A refund of an unused subscription may be requested and is granted solely at IndieCrave's discretion.

Tips go directly to the artist and are non-refundable.

7. Prohibited uses

• Uploading content you don't have rights to.
• Harassing other users or artists.
• Attempting to circumvent our payment, distribution, or rate-limiting systems.
• Reselling music outside of IndieCrave's marketplace mechanisms.

7a. User content — zero tolerance

Many features let you post content other users can see or hear — music and cover art you upload, your artist profile, bio and liner notes, and (when live features are enabled) text in Room chat and short recorded voice messages ("voice drops"). You are responsible for what you post.

Zero-tolerance for objectionable content and abusive users.You may not post content that is unlawful, defamatory, threatening, or harassing; hateful toward any group; sexually explicit or exploits minors; promotes violence or self-harm; is spam or deceptive; infringes anyone's rights; or attempts to bypass moderation. We may remove any content and suspend or terminate any account at our discretion, with or without notice.

You can report any song, album, or artist from its page (the flag button), and block any user — blocking hides their content from you everywhere, immediately. We review reports and may remove content and suspend the user promptly (in practice within 24 hours). Audio you post is retained only as needed to act on a report — voice drops are not saved to your profile and are deleted once the room session ends, except a private copy kept for up to 24 hours so a report has evidence behind it.

8. Termination

We may suspend or terminate accounts that violate these Terms. Music previously purchased by other users remains accessible to those buyers regardless of artist account status.

10. Disclaimers

The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, we disclaim all warranties, express or implied.

11. Limitation of liability

To the maximum extent permitted by law, IndieCrave, LLC's liability for any claim related to the Service is limited to the amount you've paid us in the 12 months preceding the claim, or $50, whichever is greater.

12. Changes

We may update these Terms. Material changes will be announced via email and / or an in-app notice 30 days before they take effect.

13. Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Any disputes will be resolved in the courts of the State of Texas.
